POLL-Paint or undercoat?

Waste your money if you want. But Lowes sells good old Rustoleum oil based paint for 27 bucks a gallon. Properly prepped and applied, it will out last you.

Absolutely 100% correct Rusty, that's what i did with my car, check out my build thread. Brush it on and it looks good and will protect the floor as long as you live. It works great for suspension parts too.
Unless you are going for a concours resto. (how many of us really are?)
You'll be sorry if you use tar, it never completely hardens and it will make your interior stink of it for years to come, especially when it's hot out.
Be quiet or something similar is good for sound deadening and heat control especially if you have headers, just be forewarned, it's a ***** to remove it if you ever have to.
