It's a decent looking car from the pictures, but at the end of the day, you are the only one that can see it's flaws and it's positives, and you are the one that has to decide what it's worth to you. As you mentioned, the structure appears to be solid on all counts, the Diff has been rebuilt, does the seller have receipts to prove what they claim has been done? Are you comfortable doing some or all of any mechanical work that it may need done or that you may want to do? Can you do the engine swap to put the 340 in? You mentioned that the paint was ok, but that you would be looking to paint it, expect to spend 5k for a good paint job, more if you are planning a color change, and of course less if you are capable or know someone who will give you a good deal.
